The mechanism

What contract assignment actually is

No jargon and no mystique. This page explains exactly what we do, what we charge, where the risk sits and why it is legal in every market we operate in.

The short version

A contract to buy a property is an asset in its own right. If the contract says it can be assigned, the person named as buyer can be replaced before completion. We become that named buyer at a price the seller accepts for certainty, then we assign our position to you.

You are not buying the property from us. You are stepping into our place in a contract with the seller, and completing with them directly. That single distinction is what keeps the structure clean — and in England and Wales, it is why stamp duty is paid once rather than twice.

Everything below describes how we work. It is not legal or tax advice, and your own solicitor should review any contract before you sign it. We insist on that on every deal.

Where the discount comes from

People assume a below-market price means something is wrong with the property. Usually there is nothing wrong with the property at all — the discount is bought with certainty, not extracted from the building.

The four legal mechanisms we use

ENGLAND & WALES

Contractual assignment

An assignment clause in the sale contract permits the buyer's rights to be transferred before completion. The seller's solicitor confirms it in writing before we market the deal.

SPAIN

Reservation with assignment clause

The contrato de reserva names an assignment right agreed with the vendor's notary. The incoming buyer signs the escritura pública directly with the vendor.

FRANCE

Faculté de substitution

A standard, long-established clause in the compromis de vente allowing the named purchaser to be substituted before the acte authentique is signed at the notaire.

UNITED ARAB EMIRATES

Developer NOC transfer

For off-plan units the developer issues a No Objection Certificate, and the Dubai Land Department records the change of buyer against a 4% transfer fee.

What we charge

One disclosed assignment fee per deal, shown on the deal page before you commit to anything. It is included in the price you see, not added afterwards, and it is settled at exchange rather than deferred to completion.

You pay nothing to register, nothing to review a deal pack, and nothing at all if you decide against it. We do not take a commission from the seller either — their price is their price.

Where the risk sits

Being straight about this is more useful to both of us than pretending it away.
